General Terms
This Order is not an acceptance of any quote or offer. Notwithstanding any item issued by the seller, none of these terms and conditions may be changed except by a writing signed by Industrial Netting ("Buyer"). The seller shall not disclose the existence of or any information concerning this Order or the seller's business relationship with Buyer except as required by law. This Order shall be governed by the internal laws of the state of Minnesota, without giving effect to any conflicts of law principles. The seller shall indemnify Buyer against any loss or liability arising out of any breach by the seller of any of its covenants, warranties or representations. Any remedy to which the seller is entitled from Buyer shall be limited to the purchase price of the goods as set forth in this Order.
Warranties
In addition to all warranties prescribed by law or otherwise provided by the seller, the seller warrants that: (i) the goods will be delivered free of any claim of any third party, (ii) the normal use of the goods will not infringe any patent, trademark, copyright or other property rights; (iii) the goods will be merchantable and free from any defects in design, material or workmanship; and (iv) the goods will conform to applicable designs, specifications or descriptions, if any, furnished by Seller or Buyer to the other. No warranties, express or implied, are disclaimed by the seller. Neither acceptance of the goods nor Buyer's approval of any designs, specifications, descriptions or samples shall extinguish any warranty.
Compliance
Seller warrants, and upon request shall certify, that (i) it and the goods furnished hereunder comply with all applicable federal, state and local laws, executive orders, and rules and regulations (including without limitation environmental laws), (ii) the goods were produced and delivered in accordance with the Fair Labor Standards Act of 1938, as amended, and all regulations and orders issued thereunder or relating thereto (including without limitation relative to equal employment opportunity), and (iii) the tariff reductions and exemptions provided under NAFTA for goods of the type covered by this Order will apply to the goods covered by this Order, and the seller shall maintain all records required under NAFTA to evidence that applicability.
